Acceptance of Terms

By accessing or using any services provided by Branewise ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use our services. These terms apply to all visitors, users, and others who access or use our platform, APIs, and related services.

Service Description

Branewise provides enterprise AI solutions, data migration services, assessment engines, and related technology consulting. Our services include, but are not limited to, TalentMatch AI, DocAI Engine, AssessAI Engine, and DataBridge AI. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Branewise cannot and will not be liable for any loss or damage arising from your failure to comply with this requirement.

Acceptable Use

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. You may not attempt to gain unauthorized access to any part of our services, other accounts, computer systems, or networks connected to our services. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without express written permission from Branewise.

Intellectual Property

The services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof, are owned by Branewise, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any data you submit to our services.

Confidentiality

Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to any third party without prior written consent. Confidential information includes, but is not limited to, business plans, technical data, product ideas, customer data, and any information designated as confidential. This obligation survives termination of these terms for a period of three (3) years.

Limitation of Liability

To the fullest extent permitted by applicable law, Branewise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of, or inability to access or use, our services. In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Branewise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms or your use of our services.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these terms. Upon termination, your right to use our services will immediately cease. All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

Dispute Resolution

Any dispute arising out of or relating to these terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the applicable arbitration authority. The arbitration shall be conducted in English.

Changes to Terms

We reserve the right to modify or replace these terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
